In this week’s blog, we discuss why companies should be interested in corporate governance and how corporate governance should evolve as businesses, grow and complexify. When, why and where should companies look outside for help? Until recently the requirement for companies in the United Kingdom to adopt a formal corporate governance code was restricted to companies with a premium listing on the London Stock Exchange. Since January 2019 this has been extended to large private companies and companies on the Alternative Investment Market (AIM). Nonetheless, most companies are still unaffected. NEDs to be appointed on the board of Authorised Fund Managers: an update

The deadline for Authorised Fund Managers to comply with the provisions of policy statement 18/8 is 30th September 2019. In this blog, we share an update with our community reflecting information received from our members as well as a catch-up call with the FCA that NEDonBoard held mid-July. Background In April 2018, the FCA announced a range of measures to improve fund governance, protect investors and ensure that investors receive value from the investments. The Wates Corporate Governance Principles for Large Private Companies An interview with David Styles

In this short interview, David Styles, Director of Corporate Governance at the Financial Reporting Council discusses the purposes and use of the Principles. NEDonBoard Board Best Practice – Audit Committee, Oversight of Internal Audit

In March 2019, following a series of meetings with portfolio audit committee board members, NEDonBoard had the pleasure of welcoming Kathie Child-Villiers, Iain Cornish and Mary Hardy to discuss board best practices in relation to audit committee – oversight of internal audit, a recording of which is available to members below. NEDonBoard match-making events Some recommendations from NEDonBoard

Mid-2018, NEDonBoard started running match-making events. Our objective was to further support our members in connecting them with their local business community and securing roles, as a non-executive directors and/or an advisory board members. Our two pilot events in Edinburgh proved successful. NEDonBoard partnered with the RBS Entrepreneur Accelerator and received strong engagement from both entrepreneurs and the Scottish NEDonBoard community of NXDs. Stuart Dearden, RBS Entrepreneur Development Manager said that the “entrepreneurs involved felt the quality of potential NXDs was high and were impressed with their caliber”.
